These Terms and Conditions ("Terms") constitute a legally binding agreement between Flash Borderless Pte Ltd, trading as Flash Global SIM ("Seller," "we," "us," or "our"), and the individual or entity purchasing eSIM products through our website ("Buyer," "you," or "your") (each a "Party" and together the "Parties").

By accessing this website or purchasing an eSIM product, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions, our Refund Policy, and our Privacy Policy, each of which is incorporated by reference. If you do not agree to these Terms, please do not use this website or purchase our products.

1. Definitions

• "eSIM" means the embedded SIM profile(s) and associated data plan(s) offered for sale on the website.
• "Services" means the eSIM products, activation support, and related services provided by Flash Global SIM.
• "Website" means flashglobalsim.com and any associated subdomains or applications operated by Seller.
• "Order" means a request to purchase one or more eSIM products submitted by Buyer through the Website.

2. Eligibility and Account

2.1 By placing an Order, you represent that you are at least 18 years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract.

2.2 You are responsible for providing accurate, current, and complete information at the time of purchase, including a valid email address to which your eSIM will be delivered. Seller is not responsible for non-delivery resulting from incorrect or inaccessible contact details provided by Buyer.

3. eSIM Purchase

3.1 Buyer agrees to purchase the eSIM product(s) specified on the Website, subject to these Terms and the applicable product description.

3.2 Seller reserves the right, at its sole discretion, to limit, refuse, or cancel any Order, including limiting the quantity of eSIMs sold to any individual customer, account, or geographic region, where Seller reasonably suspects fraud, abuse, or a violation of these Terms.

3.3 Product descriptions, including supported countries, data allowances, and validity periods, are accurate to the best of Seller's knowledge at the time of listing but may be subject to change by our telecom operator partners.

4. eSIM Activation and Compatibility

4.1 Activation of the eSIM is subject to the technical requirements and configuration of Buyer's mobile device and carrier.

4.2 Seller does not warrant or guarantee that any eSIM product will be compatible with a particular mobile device, carrier, or network configuration.

4.3 It is Buyer's sole responsibility to verify, prior to purchase, that their device:

• (a) is eSIM-compatible;
• (b) is carrier-unlocked; and
• (c) has all hardware and software functioning correctly and is capable of supporting eSIM installation and activation.

4.4 Seller shall not be liable for any failure to activate arising from Buyer's failure to meet the requirements set out in this Section 4.

5. Payment

5.1 Buyer agrees to pay the full amount specified on the Website for the eSIM product(s) ordered, inclusive of all applicable taxes unless otherwise stated.

5.2 Payments are processed through our third-party payment gateway partner, Shopify Payment. By making a payment, you also agree to Shopify's terms and conditions, available at: https://www.shopify.com/legal/terms. Seller is not responsible for the acts, omissions, or service interruptions of third-party payment processors.

5.3 Seller reserves the right to amend pricing at any time; however, such changes will not affect Orders that have already been confirmed and paid for.

6. Delivery

6.1 Seller will deliver the purchased eSIM product(s) to the email address provided by Buyer at checkout.

6.2 Seller will use commercially reasonable efforts to deliver eSIM product(s) within three (3) minutes of receipt of full payment, though delivery times are estimates and not guaranteed.

6.3 Buyer is responsible for ensuring their email account can receive delivery, including checking spam or junk folders, and for promptly notifying Seller if delivery has not been received within a reasonable time.

7. Refunds and Cancellations

7.1 Refunds and cancellations are governed by our Refund Policy, which forms an integral part of these Terms.

7.2 Without limiting the Refund Policy, Buyer acknowledges that:

• (a) once an eSIM has been activated and installed, it is considered used, and no refund will be offered, even where data remains unused, except where expressly provided for under the Refund Policy;
• (b) no refund will be considered for any request made on or after the eSIM's expiry date; and
• (c) the maximum refund payable to Buyer in any circumstance shall not exceed the total amount paid by Buyer for the relevant Order.

7.3 Seller reserves the right to refuse any refund where there is evidence of fraud, misuse, or a violation of these Terms.

8. Acceptable Use

8.1 Buyer agrees not to:

• (a) resell, sublicense, distribute, or share the eSIM product(s) or associated activation codes with any third party, except for legitimate personal or business travel use as intended;
• (b) reproduce, copy, decompile, reverse-engineer, or otherwise attempt to extract or duplicate any eSIM profile or underlying technology;
• (c) use the Services for any unlawful, fraudulent, or unauthorised purpose; or
• (d) interfere with or disrupt the integrity or performance of the Website or the Services.

8.2 Seller reserves the right to suspend or terminate access to the Services, without liability, for any Buyer found to be in breach of this Section 8.

9. Intellectual Property

9.1 All intellectual property rights in and to the Website, the Services, and the eSIM product(s) — including all trademarks, logos, copyrights, patents, trade secrets, and other proprietary rights — are owned by Seller or its licensors, including telecom operator partners.

9.2 Nothing in these Terms grants Buyer any right, title, or interest in such intellectual property, other than a limited, non-exclusive, non-transferable license to use the purchased eSIM product for its intended personal or business use.

9.3 Buyer agrees not to reproduce, distribute, modify, or create derivative works from the eSIM product(s) or any related materials without Seller's prior written consent.

10. Disclaimer of Warranties

10.1 To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, error-free, or secure.

10.2 Seller does not warrant or guarantee network coverage, speed, or quality of service, as these are dependent on third-party telecom operator partners and factors outside Seller's reasonable control.

11. Limitation of Liability

11.1 To the maximum extent permitted by applicable law, Seller's total aggregate liability to Buyer arising out of or in connection with these Terms, the Services, or any eSIM product, whether in contract, tort, or otherwise, shall not exceed the total amount actually paid by Buyer for the relevant Order.

11.2 In no event shall Seller be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, even if Seller has been advised of the possibility of such damages.

11.3 Nothing in these Terms excludes or limits Seller's liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited under applicable law.

12. Indemnification

Buyer agrees to indemnify, defend, and hold harmless Seller, its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with Buyer's breach of these Terms, misuse of the Services, or violation of any applicable law or third-party right.

13. Force Majeure

Seller shall not be liable for any failure or delay in performance of its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, telecommunications or internet outages, or failures of third-party network or payment service providers.

14. Third-Party Services

The Services rely on telecommunications networks and infrastructure provided by third-party operator partners. Buyer acknowledges that Seller is not the network operator and that such third parties' own terms, policies, and service levels may also apply to Buyer's use of the eSIM.

15. Privacy

Seller's collection, use, and handling of Buyer's personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

16. Governing Law and Dispute Resolution

16.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles.

16.2 The Parties shall first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts of Singapore, save that Seller may seek injunctive or equivalent relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it enforceable.

18. Assignment

Buyer may not assign or transfer any rights or obligations under these Terms without Seller's prior written consent. Seller may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

19. Entire Agreement

These Terms and Conditions, together with the Refund Policy and Privacy Policy, constitute the entire agreement between the Parties with respect to the subject matter herein and supersede all prior or contemporaneous understandings, agreements, or representations, whether written or oral.

20. Modification

Seller reserves the right to modify these Terms at any time by posting the updated version on the Website. Updated Terms take effect immediately upon posting. Buyer's continued use of the Website or purchase of any eSIM product following such posting constitutes acceptance of the modified Terms. We encourage Buyer to review these Terms periodically.
